1. Agreement to Terms

4. User Accounts

Certain features of the Service may require you to create an account or sign in using Google OAuth. When you create or use an account:

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must provide accurate and complete information.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

5. User Responsibilities

When using the Service, you agree to:

• Use the Service only for lawful purposes and in accordance with these Terms.
• Not use the Service to generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Not attempt to gain unauthorized access to any part of the Service or its related systems.
• Not use automated systems (bots, scrapers, crawlers) to access the Service without our written permission.
• Not interfere with or disrupt the Service or servers or networks connected to the Service.
• Not impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Not upload or transmit viruses, malware, or any other malicious code.
• Only provide phone numbers that you own or are authorized to use.

6. SMS Messaging Terms

If you ask Tech Easy IT to text you a link, reminder, or support follow-up, you consent to receive SMS messages from us at the phone number you provide or call from. Consent is not a condition of purchase.

• Message frequency varies based on your requests and support activity.
• Message and data rates may apply.
• Reply STOP to unsubscribe from SMS messages.
• Reply HELP for help, or contact nick@techeasyit.com.
• Carriers are not liable for delayed or undelivered messages.

Verbal consent script: When a caller asks for a texted link or follow-up, our assistant may say, "I can text you that Tech Easy IT link and related customer-care follow-up at the number you are calling from. Message and data rates may apply. Reply STOP to opt out. Is that okay?"

7. Acceptable Use

You may not use the Service to:

• Generate or distribute spam, phishing content, or unsolicited commercial messages.
• Create content that infringes on the intellectual property rights of others.
• Engage in any activity that could harm, disable, or overburden our infrastructure.
• Circumvent any rate limits, usage restrictions, or access controls.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell, redistribute, or commercially exploit the Service or AI-generated outputs without written authorization.

8. Intellectual Property

8.1 Our Property

The Service, including its design, user interface, code, graphics, logos, trademarks, and all other visual and functional elements, is owned by Tech Easy IT and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written consent.

8.2 Your Content

You retain ownership of all ideas, concepts, business plans, and other original content you submit through the Service ("User Content"). By submitting User Content, you grant Tech Easy IT a limited, non-exclusive, royalty-free license to process and display your content solely for the purpose of providing the Service to you.

8.3 AI-Generated Outputs

AI-generated outputs are provided for your use, but they may not be unique to you. Other users may receive similar or identical outputs from similar prompts. We make no claims of exclusivity or ownership over AI-generated content, and you may use such outputs at your own discretion and risk.

9. Payment and Services

Certain features or services may require payment. When applicable:

• All fees are quoted in U.S. dollars unless otherwise specified.
• Payment terms will be agreed upon before any paid services commence.
• Refund policies will be specified in individual service agreements or at the point of purchase.
• We reserve the right to change pricing with reasonable notice.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tech Easy IT, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any User Content you submit through the Service; or (e) any business decisions or actions you take based on AI-generated content provided through the Service.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms or any applicable law.
• Conduct that is harmful to other users, the Service, or third parties.
• Extended periods of inactivity.
• Requests by law enforcement or government agencies.

You may terminate your account at any time by contacting us at nick@techeasyit.com. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 8, 10, 11, 14, and 15.

13. Disclaimer of Warranties

The Service, including all content, tools, and AI-generated outputs, is provided "as is" without any warranty. We specifically disclaim all warranties, including:

• The accuracy, completeness, or reliability of any AI-generated content.
• The suitability of any recommendation or suggestion for your specific business needs.
• The availability or uptime of the Service.
• The security of data transmitted through the Service.
• That the Service will meet your specific requirements or expectations.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Ohio, and you consent to the personal jurisdiction and venue of such courts.

15. Dispute Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute with us informally by contacting us at nick@techeasyit.com. We will attempt to resolve the dispute informally within 30 days.

If the dispute cannot be resolved informally, either party may pursue binding arbitration administered by a mutually agreed-upon arbitration provider under its applicable rules. The arbitration shall take place in Ohio, and the arbitrator's decision shall be final and binding.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after the effective date of any modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

17. Severability
